On 18 December 2019, a meeting of the Supervisory Board of National Settlement Depository (NSD), Russia’s central securities depository, took place. Supervisory Board members adopted resolutions on preparing, convening, and conducting the Extraordinary General Meeting (EGM) of the Company’s shareholders in 2020.
The EGM will be held on 22 January 2020 at 12 Spartakovskaya Street (Office 1.7), Moscow, in the form of a meeting of shareholders in presentia to discuss agenda items and to make decisions on the issues put to vote. The record date is 29 December 2019. The EGM announcement will be placed on NSD’s official website (www.nsd.ru/en).
The EGM's approved agenda includes the following items:
- Amend the Articles of Association of National Settlement Depository;
- Approve the amended and restated version of the Regulations on the Supervisory Board of National Settlement Depository.
Persons entitled to attend the EGM may get EGM information (materials) at 12 Spartakovskaya Street (Office 1.9), Moscow.
The EGM information (materials) is also sent in electronic format to NSD’s registrar to provide persons entitled to attend the EGM in accordance with Russian securities laws.
JSC STATUS Registrar Society (NSD’s registrar) will perform the functions of the ballot committee at the EGM.
The Supervisory Board approved and proposed that the EGM:
- amend the Articles of Association of National Settlement Depository;
- approve the amended and restated version of the Regulations on the Supervisory Board of National Settlement Depository.
The Supervisory Board formed customer committees with new members.

The Supervisory Board approved:
- NSD’s 2020 Budget of Income and Expense and Capex Budget;
- An amended and restated version of NSD's Fee Policy;
- An amended and restated version of NSD’s Regulation on Placing Temporarily Available Cash;
- NSD’s Corporate Key Performance Indicators for 2020 (with established achievement limits and weights).
The amended and restated version of NSD’s Fee Policy will come into effect once amendments to NSD’s Articles of Association are registered based on a resolution of the Extraordinary General Meeting of NSD shareholders which will be held 22 January 2020.
The Supervisory Board approved NSD’s Fees for services related to conducting a general meeting of bond holders until 31 December 2021 (inclusively), the amended and restated Fees for banking services, and the amended and restated Fees for services provided to bond issuers.
The Supervisory Board also took into account the company’s preliminary 2019 Performance Report.
